1.  Terms and Conditions: Introduction

Welcome to Elect Club Ltd (“elect club”), a company whose offices are at 4th Floor Bury House, 33 Bury Street, Saint James, London, SW1Y 6AX and whose registration number is 05523571.

elect club provides our services to you subject to these terms and conditions. Any holiday, activity or event bookings made by you are also subject to these terms and conditions, including the Special Conditions below. By joining Elect Club as a member or booking a holiday or activity with Elect Club, you are entering into a legally binding contract based on these terms and conditions.

Payment of the joining fee is acceptance to these terms and conditions. 

Elect Club may change these terms and conditions from time to time. The most recent version of these terms and conditions will always appear on this page. Your continued use of Elect Club’s services will constitute acceptance of such changes.

2.  Eligibility and Membership

2.1  Your membership of Elect Club and use of our services is conditional on the following. By joining, you confirm and warrant that:
 (i) you are at least 18 years old;
 (ii) you are single or separated from your spouse;
 (iii) your personal information is true, accurate and complete;
 (iv) you live in the United Kingdom; and
 (iv) you are not using and will not use Elect Club services for any commercial purpose.
 Your membership will be void if any of the above conditions are broken.
 
2.2 Special membership for those who live outside of the UK may be available for prospective members who are able to travel to London to meet potential matches but will be considered on a case-by-case basis at Elect Club’s sole discretion.

2.3 Elect Club reserve the right to refuse any membership application at its sole discretion and without giving a reason.

3.  Your Rights and Responsibilities

3.1 As soon as you have completed your initial meeting with Elect Club we will begin assessing potential introductions. Elect Club offer different levels and types of membership which will be explained to you in person at your initial meeting with the company. We will use our reasonable efforts to introduce you to potential partners who we think may be suited to you.

3.2 You accept that the more limitations you impose on the type of person you would like to meet, the fewer introductions may result. You also accept that Elect Club cannot control whether another member wishes to reply to any communication from you, nor the nature of any feedback they supply following a date with you.

3.3 You accept that Elect Club does not guarantee any minimum number of introductions. We will endeavour to estimate a number based upon the information you provide at the initial meeting. This number is intended as a guide only and under no circumstances will it constitute a binding promise.

3.4 You promise and undertake not to do any of the following, and understand that should you break this undertaking, we may take action including but not limited to termination of your membership at our discretion and without offering any refund:
 (i) harass or cause a nuisance, inconvenience or anxiety to any other member or any employee of Elect Club, or contact them following a request not to do so;
 (ii) violate the privacy or other rights of any employee or other member of Elect Club, including but not limited to by forwarding, distributing or displaying emails, personal data or photographs of another member to any third party;
 (iii) act in an abusive, threatening, harassing, obscene, libellous, offensive, sexist, racist or discriminatory manner towards any employee or other member of Elect Club;
 (iv) do anything which restricts or inhibits anyone else’s use and enjoyment of the services;
 (v) impersonate another person;
 (vi) supply us with any photograph or other material the rights to which are owned by any third party unless you have their written permission for such photograph or other material to be used for this purpose;
 (vi) promote or appear to be promoting your own products or services to any other member of Elect Club; or
 (vii) do anything that deliberately or recklessly prejudices the reputation of Elect Club Ltd.
 Should you become aware of any other member breaking these rules, please contact Elect Club.

3.5 You accept that Elect Club cannot be responsible for your interaction with other members or for the conduct or actions of any member. Elect Club does not carry out police or background checks of its members and makes no representations about the marital status or mental state of any member. You should always take sensible precautions before and during such interactions, particularly if arranging to meet another member (these should include meeting in a public place, telling a friend where you are going, and not giving out personal information until you are comfortable doing so). Elect Club cannot arbitrate in disputes between members.

3.6 Payment: Your membership is conditional upon the payment of a joining fee plus a monthly subscription fee. Subscription fees vary depending on the level of membership you choose, and you will be given this information before joining.  Fees, services and renewal options may be amended from time to time by Elect Club but you will be notified in advance of such changes. You may cancel your membership and subscription at any time but all fees paid up until your cancellation are non-refundable, except at the sole discretion of Elect Club.

3.7 Membership may be suspended for up to 12 months at a time by giving one month’s notice to Elect Club of your intention to stop paying the monthly fee. You may reactivate your membership at any time within such 12-month period by informing Elect Club and restarting your monthly fee payments. Should you wish to reactivate your membership following the expiry of such 12-month period, you will be required to pay the full joining fee for your level of membership, in addition to the monthly fees.
Membership can be put on hold to a maximum of 3 times and there is an admin fee of £50 per transaction each time you come back.
You can transfer your membership to someone else for an admin fee of £150 (but you need approval of the Membership Committee).

3.8 You consent to Elect Club processing your personal information, including any sensitive personal information you provide, for the purposes of providing our services. You also consent to the use of such data for communicating with you, and for marketing, statutory, accounting and archival purposes.

3.9 You grant Elect Club and its successors and assigns a non-exclusive, royalty-free, perpetual licence to use, distribute, display and reproduce any photograph or other material for which you own the intellectual property rights and which you supply to Elect Club.

3.10 You agree to indemnify Elect Club, our employees and directors, for any and all loss, damage, claims, expenses, actions or demands, including but not limited to legal fees, arising out of your use of our services and/or any breach by you of these terms and conditions.

3.11 The joining fee is payment for the work done to create your profile, gain free or discounted entry to our parties for 12 months and for the time that the consultants/matchmakers spend searching matches and sending the profile out to other members. The monthly subscriptions are to pay for the time the consultants/matchmakers to continue to source matches (from our database or going headhunting) plus sending the profile to other members. With an active membership the Matches are done/reviewed 4 times a month. With a passive membership the Matches are done/reviewed twice a month.

4.  Our Rights and Responsibilities
 
4.1 We take your privacy seriously and will process and protect your Personal Information (as defined in the Data Protection Act 1988) in accordance with the Data Protection legislation. See our Privacy Policy for full details. For example, we will:
 (i) never share your personal information with anyone unless you give us permission to do so;
 (ii) take care of your personal information and use appropriate security measures to protect it.
 You agree to let us know of any changes to your personal information as soon as possible.

4.2  We reserve the right to refuse any application for membership or to terminate your membership without notice or refund at any time and at our sole discretion. We shall not be liable to you for any such termination.

4.3 All materials provided to you by Elect Club, and any intellectual property belonging to or associated with our company and/or services, including any website, trade mark or trade name,  logo, software, text and graphics are the sole property of Elect Club and you agree that you will not infringe any such rights in any way. You may not download, modify, display, copy (including without limitation making derivative works based on such material) or print any such material or any of the content on this website except for your own personal non-commercial use.

5.  General

5.1 Liability: Your use of our services is at your sole risk. Elect Club does not accept any liability for any loss, damage, claim or expense, whether direct or indirect and howsoever caused, arising out of your membership and/or your use of the service or your reliance on advice or information provided by us. All warranties in respect of the service and/or such information, whether express or implied, are excluded. We are not responsible for any loss or damage incurred by you as a result of any action or decision you take based on advice or information we provide. Notwithstanding the foregoing, any liability of Elect Club to you for any and all causes of action will be limited to the amount paid by you in respect of Elect Club’s services.

5.2 We endeavour to ensure that the information provided on our website is accurate and current. However, we cannot guarantee the accuracy of such information nor accept responsibility for any adverse consequences resulting from your reliance upon it.

5.3 Any of Elect Club’s websites may contain links to other websites. These are provided as a convenience to our members and we accept no liability or responsibility for the content of those websites, nor do we make any claims as to the truth or accuracy of the information contained therein. You access such websites at your own risk.

5.4 Notwithstanding conditions 5.1, 5.2 and 5.3 above, nothing in these terms and conditions shall attempt to limit or exclude our liability for death or personal injury caused by negligence.

5.5 Entire agreement: This contract constitutes the entire agreement between you and Elect Club.

5.6 No waiver: Any failure by Elect Club to enforce any provision of these terms and conditions at any time shall not be construed as a waiver of such provision and shall not affect the right of Elect Club to enforce such provision.

5.7 Rights of Third Parties: Nothing in the Contracts (Rights of Third Parties) Act 1999 shall operate to give any third party the right to enforce any term of this contract.

5.8 Severability: If any provision in these terms and conditions is deemed to be illegal, unenforceable or invalid for any reason, it shall be deemed to have been struck out and the remaining provisions shall survive and continue to be binding and enforceable.

5.9 Jurisdiction: This agreement is governed by English law and shall be subject to the exclusive jurisdiction of the English courts.

6. SPECIAL CONDITIONS

These conditions apply where you have booked a holiday, event or activity with Elect Club. Any such booking is subject to the following conditions in addition to those set out above. Elect Club reserves the right to refuse to accept any booking at any time without giving a reason. If you are booking for more than one person, you will be deemed to have accepted these conditions and fulfilled the requirements (including without limitation taking out appropriate insurance) on their behalf, and made them aware of these conditions and their obligations hereunder.

6.1 Your Booking: Your contract with Elect Club is made once both of the following requirements have been fulfilled: a) you have paid the required deposit, and (b) an Elect Club receipt has been sent to you by email. Your contract with Elect Club commences on the date of issue of your receipt email. You must check your confirmation receipt carefully and raise any queries or notify Elect Club of any inaccurate information immediately upon receipt. Should your name appear differently on your passport and ticket, you may be refused boarding and Elect Club accepts no responsibility in this event.

6.2 Conditions For Booking: You agree to the following conditions as part of your booking and we shall have no liability to you for any consequences if you fail to comply:
• You must be 18 or over to make a booking with Elect Club and any booking made by anyone under 18 will be void and any deposit paid will be non-refundable.
• You must be a current and valid member of Elect Club.
• You appreciate the risks involved in a holiday, event or activity of this kind.
• You are not aware of any pre-existing medical condition which may prevent you from fully participating in the holiday, event or activity.
• You acknowledge that we cannot guarantee any particular ratio of males to females for any holiday, event or activity.
• You acknowledge that we will need to disclose the personal information you supply to us to our agents, suppliers and representatives as required, and that if you are booking a holiday in a non-European country, that we will have to transfer the necessary data outside of the European Union, and you consent to our doing so.
• By consenting to being photographed at events by our photographer you also consent to the photos being used on our website and/or promotional material.
• We are entitled to withdraw from any contract in the case of obvious errors or inaccuracies regarding your booking. If an error or inaccuracy is discovered with regards to the advertised price of the booking you have purchased, we will contact you as soon as possible by email to inform you of the correct price. You will then have the option to continue with or cancel the booking.
For Events and Activities:
• You understand that Elect Club may require you to bring a valid e-ticket or other identifier in order to be allowed entry, and that Elect Club reserves the right to refuse you admission or stop your participation if you do not have such a valid e-ticket or identifier and/or your name is not on the list of attendees.
• You may nominate up to six guests of each sex to buy tickets for, attend and participate in an activity or event, but acceptance of such nomination requests is at Elect Club’s sole discretion.
For Holidays:
• You will arrange, and bring with you where appropriate, a valid passport, proper medical advice, and any visas and vaccination certificates required. You will also ensure that you bring appropriate clothing and equipment.
• For holiday bookings, you have taken out appropriate insurance which covers you for the entire trip, including cover for any dangerous sports or activities in which you intend to participate (you should check the exclusions carefully). The insurance must cover you for injury, death, medical expenses, repatriation, cancellation and curtailment at the minimum.

6.3 Special Requests: If you have a special request that does not form part of the arrangements described on our website it is your responsibility to inform us before booking. In particular, it is your responsibility to inform us of any special dietary requirements you may have, including food allergies. We will do our best to comply but we cannot guarantee to do so and compliance will not form part of our contracted obligations. We strongly recommend that you repeat your request to the airline, hotel or venue manager at the appropriate time. Elect Club will not refund you or accept any liability for bookings made without checking that your special requests can be accommodated.

6.4 Payment:
 Fees are in Pounds sterling and are inclusive of VAT. Payment may be made by cash, electronic transfer or PayPal.
 Holidays: Full payment must be made to Elect Club at least four weeks prior to departure. If you book less than four weeks prior to departure you will be required to pay the full price of the holiday when you book. Elect Club accepts cheque payments at least five weeks prior to departure, to allow time for the payment to clear.
 Activities and events: Full payment must be made to Elect Club on the date on which the booking is made. Payments for activities and/or events will not be treated as having been made until we have received cleared funds in respect of all sums due and we reserve the right to refuse admission to an activity or event in cases of non-payment in advance.

6.5 DEPOSITS ARE NON-REFUNDABLE. If Elect Club has not received payment for the balance of your booking at least four weeks before departure, your booking will be cancelled and you will lose your deposit.

6.6 Changes To Your Holiday Booking: No changes to your booking are allowed following confirmation.  However, at our sole discretion, Elect Club may allow you to transfer your booking to another person where the request is made at least two weeks before departure. Should Elect Club agree to the transfer, a fee of £30 will be payable in addition to any charges that may be levied by suppliers. The transfer will not be deemed to be accepted until you receive email notification from us that all outstanding payments have been made.

6.7 Changes To Your Event/Activity Booking: No changes to your booking are allowed following confirmation.  However, at our sole discretion, Elect Club may allow you to transfer your booking to another person of the same sex where the request is made at least a week in advance. The transfer will not be accepted until you receive email notification from us that all outstanding payments have been made.

6.8 Permissible Changes By Elect Club:
 Events and Activities:
 We reserve the right to cancel or to change the date, time, programme or venue of any activity or event for any reason, including without limitation where the requisite numbers of participants for an activity or event have not been met. If you purchase ticket(s) for an activity or event(s) Elect Club will use reasonable endeavors to inform you of any such change as soon as possible and you agree that it shall be your responsibility to inform any person for whom you have bought tickets of any change to an activity or event. We will attempt to offer you alternative dates, but our liability to you in respect of cancellations or variations of activity or events shall be limited to the return of any sums paid by you in relation to that activity or event.
 Holidays:
 Before the booking is confirmed, we reserve the right to change our services and/or prices. We will advise you of any changes when you book. After confirmation, we will endeavour to conform to the proposed itinerary and cost but you understand and accept that changes to itinerary and/or costs may be necessary at any time including after the holiday has commenced, due to influences outside our control. Should we impose a surcharge of more than 10%, you will be entitled to cancel and receive a full refund, but this right must be exercised within 10 days of receiving notification of the surcharge.

6.9 Cancellations:
 Events and Activities:
 Once made, event and activity bookings are non-refundable in the event of cancellation by you. This is so that Elect Club can continue to offer carefully planned events with the correct mix of genders attending. However, at our sole discretion, Elect Club may allow you to transfer your booking to another person of the same sex where the request is made at least three days in advance. In this event, Elect Club will not involve itself in or have any responsibility for any financial aspect of the transfer. It is your sole responsibility to obtain any repayment from the person to whom you transfer your booking.
Holidays:
If you decide to cancel your booking, you must advise us in writing or by email. You will lose your deposit and the following charges will also apply, calculated from the date we receive your notice of cancellation:
• More than 28 days before departure – 25% of the full price
• Between 15 and 28 days before departure – 50% of the full price
• 14 days or fewer before departure – 100% of the full price
 We strongly advise you to take out an insurance policy on your booking which covers you for cancellation.

6.10 Included In Your Booking: The cost of your holiday includes, unless otherwise stated, half board accommodation, transfers between airport and hotel and the services of an Elect Club host or local representative. Not Included: Holiday insurance, personal expenses (drinks, laundry etc), and flights (unless otherwise stated).

6.11 Complaints: If you have cause for complaint whilst on holiday, you should immediately inform both the Elect Club host or local representative and the owner or supplier of the service so that action can be taken to remedy the problem. Failure to report your complaint as soon as possible may prejudice any claim, as it does not give Elect Club any chance of resolving it. Should the Elect Club host or local representative be unable to resolve the problem in resort, you should try and contact Elect Club’s offices in London. If you are not happy with the outcome, you should contact Elect Club in writing within 28 days of the end of the holiday.

6.12 If We Change Your Booking: Elect Club aims to provide the holidays described on our website, but reserves the right to change the services, prices or itineraries thereof. Most alterations are minor and should not affect the overall enjoyment of your holiday. In the case of minor alterations, including without limitation changes of carrier, transport, accommodation or flight times, we will do our best to notify you before departure. Major changes may include (without limitation) changes to departure or return flight times (other than delays) of more than 12 hours, a change of departure airport (except between London airports), a change of resort, or a significant change in the standard of accommodation offered. We will notify you of major changes as quickly as possible, and you may then choose to: (a) accept the change, or (b) take an alternative holiday subject to availability. If the alternative holiday is of a lower price than the original, we will refund the difference. If the alternative holiday is more expensive you will be required to pay the difference, or (c) withdraw from the booking completely and receive a full refund. We will not pay compensation if the changes are due to situations beyond our control, including without limitation consolidation, war, threat of war, riot, civil strife, industrial dispute, terrorist activity, epidemics or health risks, natural or nuclear disaster, fire or adverse weather conditions, technical or maintenance problems with transport, closed or congested airports, ports or stations, and changes imposed by the transport supplier, whether re-scheduling or cancellation of transportation. Consolidation is the need for a minimum number of persons on any booking, and where the minimum number is not met we will cancel the booking and (b) and (c) above will apply. For changes due to situations within our control, we will pay minimum compensation as follows:
Period before scheduled departure within which a major change is notified:
More than 56 days – Nil
56 - 29 days - £ 10 compensation per passenger
28 - 14 days - £ 20 compensation per passenger
13 - 0 days - £ 30 compensation per passenger

6.13 If We Cancel Your Holiday: Cancellation may be necessary in exceptional circumstances and Elect Club reserves the right in its absolute discretion to cancel your holiday. If this occurs you will be offered an alternative holiday of comparable standard (if available) together with a refund of any price difference or a full and prompt refund of all monies you have paid. If cancellation or curtailment of your holiday occurs as a result of circumstances beyond our control (see condition above for examples), the consequences of which could not have been avoided even with all due care, Elect Club will not pay any compensation, nor be responsible for any costs or expenses incurred by you as a result.

6.14 Participation and Conduct:
 Events and Activities:
 Members and all other event or activity attendees must conduct themselves at all times in a responsible and respectful manner. We do not accept any responsibility for your actions or the actions of any other member or other attendee at or after any event or activity. If you and/or your guests fail to behave correctly, including without limitation drunken or disorderly behaviour, you may be expelled, suspended or prevented from continuing with an event or activity and we may terminate your membership or bar you from future events or activities.  You acknowledge that venue suppliers or other event or activity organisers may also be entitled to refuse you admission to an event or activity or stop your continued participation in an event or activity for non-compliance with this condition.
 Holidays:
 You agree to accept the authority and decisions of your Elect Club host and/or local representative for the duration of your holiday. Any person considered to be: behaving in an antisocial manner; under the influence of alcohol or drugs; below a reasonable and appropriate level of fitness or general health; or behaving in a manner which is causing or is likely to cause danger or damage to others or affect their enjoyment or affect the group’s holiday, may be refused boarding or removed from any flight or, at the sole discretion of the Elect Club host or local representative, have their holiday terminated without refund and Elect Club shall have no responsibility for any loss, damage, claim or expense incurred or suffered as a result of termination. Should the individual’s holiday be terminated for health reasons, Elect Club may make appropriate arrangements and recover the costs of doing so from the individual. For the avoidance of doubt, any medical or other condition which may cause difficulties of the kind envisaged in this condition 6.14 should be disclosed to Elect Club at the time of booking. Should the holiday be terminated because you commit an illegal act, Elect Club will have no further responsibility towards you. Furthermore, you may be liable for prosecution.

6.15 Liability In Respect Of Holidays, Activities And Events:
Events: you agree that elect club will not refund your ticket if you change your mind, don't attend the event or provide wrong information when making your booking.
(i) You agree and warrant that you understand the risks inherent in holidays of the kind you are booking, that you understand that activities including without limitation skiing, cycling and scuba diving involve the risk of injury or death, that you choose to accept such risks of your own free will, and that you will conduct yourself in a sensible and safe manner, follow advice and/or guidelines issued by Elect Club Hosts, local representatives or local persons in authority, use appropriate equipment and take reasonable precautions while participating in such holidays, activities and events. Other than as set out below, we accept no liability towards you for any death, personal injury, loss or damage arising out of your holiday, activity or event, or out of meeting or communicating with anyone you meet on such holiday, activity or event. You agree to assign to Elect Club any rights you may have against any other person whose acts or omissions have caused Elect Club’s liability.
(ii) Participation in events and/or activities is subject to the terms and conditions of the relevant venue supplier and/or food and beverage supplier as well as these terms and conditions. By attending you agree to be bound by the relevant venue supplier's and/or food and beverage supplier's terms and conditions and it is your responsibility to familiarise yourself with these and to ensure you follow such terms and conditions. Compliance with health and safety legislation at the activity or event is the responsibility of the relevant venue supplier and/or food and beverage supplier.
(iii) We undertake to take reasonable skill and care in providing our services to you, and in selecting our suppliers who provide services to you and ensuring that they provide the services or facilities with reasonable care and skill. In order to make a claim against us, you must show that we have not used reasonable care and skill. This may not mean providing the services or facilities to British standards of safety, hygiene and quality. As long as the services and facilities provided to you during your holiday either comply with local and national laws and regulations, or where no applicable laws or regulations exist, they are provided in accordance with local standards and customs, they will be deemed to have been provided with reasonable care and skill.
(iv) For any claim not involving personal injury or death to you or any person included in the booking, Elect Club accepts liability where and to the extent that we our or employees, agents or suppliers fail to fulfil our obligations detailed in this condition 6.15. We will pay you reasonable compensation if your enjoyment of the holiday, activity or event has been affected, but only where and to the extent that this was caused by our fault. In any case such compensation will be limited to the value of the holiday, event or activity. Should you receive compensation from any third party in respect of any such claim, this will be deducted from any compensation paid to you by Elect Club. You also agree to mitigate your loss where possible, including without limitation pursuing a claim for compensation with the relevant carrier under any applicable law or regulation entitling you to do so, and accept that failure to do so may affect the amount we pay to you in compensation.
(v) For any claim involving personal injury or death, Elect Club accepts liability if, and only if, we or our employees, agents or suppliers have failed to fulfil our obligations detailed in this condition 6.15. If we are liable, we will pay you reasonable compensation. We will not accept liability where the cause of the failure to fulfil such obligations and/or the cause of the personal injury or death is not due to our or our employees, agents or suppliers’ fault, because it is either attributable to you, or attributable to someone unconnected with your holiday and is unforeseeable or unavoidable, or is due to unusual or unforeseeable circumstances beyond our control, the consequences of which could not have been avoided even if all due care had been exercised, or an event which neither we, nor our employees, agents or suppliers could have foreseen or forestalled.
(vi) Should you purchase activities from other suppliers and undertake these during your holiday, you do so at your own risk. Elect Club will not be a party to that contract and will have no responsibility for any complaint or problem resulting from the activity.
(vii) If any International Convention (including without limitation the Warsaw Convention 1929 as amended, the Montreal Convention 1999, the Berne Convention 1961, the Athens Convention 1974, the Geneva Convention 1973 and the Paris Convention 1962) applies to or governs the services or facilities provided by Elect Club or its suppliers or agents, our liability to pay you compensation for personal injury or death or other loss or damage and the nature and amount of that compensation will be limited in accordance with or in the same way as that Convention. The terms of such Conventions will apply to this contract and we are entitled to the benefit of any limitations of compensation contained therein. We will supply a copy of any relevant Convention to you on request.

6.15 Delays: Unfortunately we cannot guarantee that your flight will not be subject to delay. Delays are the responsibility of the carrier, and will be dealt with according to their Conditions of Carriage. The provision of subsistence and/or accommodation, during the period of a delay, is also the responsibility of the carrier and not Elect Club. In the event that a delay results in lost holiday time, Elect Club cannot refund you for unused accommodation or meal arrangement, as they are not re-sold. Full cancellation charges will be applied by the hotel. No adjustment can be made to the holiday arrangements to take account of a delay. Please pay particular attention to the above when booking your own independent domestic flights, train or taxi connections, and allow sufficient time. Elect Club cannot accept any liability for missed connections, cancellation charges, or other consequential loss resulting from a delay, unless the arrangements in question are booked by us as a part of the inclusive package.

6.16 Data Protection Policy: In order to process your booking and ensure that your travel arrangements run smoothly and that they meet your requirements, Elect Club will use your personal information, such as name, address, mobile telephone number etc. We will put in place and maintain proper security measures to protect your information.
